Metric CFO - Terms and Conditions

These Terms and Conditions ("Agreement") govern the professional relationship between Metric CFO ("Company," "we," "us," or "our") and the client ("Client," "you," or "your") as identified in any signed Engagement Letter or Service Agreement.

By engaging Metric CFO for services, you agree to be bound by the following terms.

1. Services

We provide outsourced financial services designed to simplify finance for growing businesses. Our specific scope of work will be defined in your individual Engagement Letter or Statement of Work.

2. Payment Terms

Invoices are due and payable within 15 days of the invoice date. Late payments may result in a suspension of services.

3. Client Responsibilities

To provide the highest level of precision and care, we rely on the timely and accurate provision of information. You agree to:

  • Provide all necessary financial records, access to banking/accounting software, and documentation in a timely manner.

  • Ensure the accuracy and completeness of the data provided to us.

  • Review all deliverables (financial statements, tax returns, etc.) and notify us of any required corrections immediately.

4. Professional Standards and Reliance

Metric CFO performs services in accordance with applicable professional standards. Our work is intended for your internal management use and for the specific purposes outlined in the Engagement Letter (such as tax filing). Unless otherwise stated in writing, our services do not constitute an "audit" or "review" as defined by the AICPA, and we do not provide an opinion on your overall financial statements.

5. No Professional Relationship (Website Use)

The content provided on this website is for general informational purposes only and does not constitute financial, tax, legal, or accounting advice. While we offer the ability to schedule consultations and submit inquiries online through our integrated scheduling and contact systems, interacting with our website, reading our content, or communicating with us prior to signing a formal agreement does not establish a formalized professional or advisory relationship. To the maximum extent permitted by law, our total aggregate liability for any claims arising out of or related to our services, whether in contract, tort, or otherwise, shall be limited to one (1) times the total fees paid by you to Metric CFO for the specific service giving rise to the claim during the twelve (12) months preceding the event.

9. Data Privacy and AI Usage

Your privacy is paramount. We handle your data according to our Privacy Policy. AI Protection: While we may use artificial intelligence tools to increase efficiency and accuracy in our work, we explicitly do not use your confidential financial data to train public AI models.

10. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

11. Confidentiality

We maintain strict confidentiality regarding all non-public information provided by you in the course of our engagement, except as required by law or necessary to perform the services (e.g., filing tax returns with the IRS).

12. Termination

Either party may terminate the engagement upon written notice as specified in your individual Engagement Letter.
